Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Yagantra platform and marketing website operated by Yagantra Co., Ltd. ("Yagantra", "we", "us", or "our"). By accessing the platform, submitting an inquiry, or creating an account, you agree to be bound by these Terms. If you do not agree, do not use Yagantra.
1. Who We Are
Yagantra Co., Ltd. is a company incorporated in Thailand operating a SaaS compliance and traceability platform for the Thai regulated medical herb market under DTAM and Thai FDA oversight. Yagantra is a private compliance tool — not a government system, regulatory authority, or legal advice service. Regulatory compliance remains the responsibility of each licensed operator.
2. Eligibility
To use the platform, you must meet the following requirements.
- •Organizations (farms, labs, dispensaries): hold a valid Thai FDA registration or medical herb license required by Thai law; not be subject to a current license suspension or revocation.
- •Healthcare professionals (doctors): hold a valid Thai medical license and a valid DTAM medical herb training certificate; be in good standing with the Medical Council of Thailand.
- •Patients: be at least 18 years of age; hold a valid Thai national ID or passport; comply with all applicable Thai medical herb laws.
3. Account Registration and Verification
You must register an account with accurate, complete information. B2B Subscribers and Healthcare Professionals must upload required regulatory documents; full operational access is granted only after successful verification by Yagantra staff. Providing false, forged, or expired documents is grounds for immediate termination and may be referred to relevant Thai authorities. Documents must remain valid throughout your subscription — operational functions are suspended if an obligatory document expires (you are alerted at 60, 30, and 7 days before expiry). You are responsible for the confidentiality of your credentials; notify hello@yagantra.app immediately of any unauthorized account access.
4. User Types and Access
B2B Subscribers (farms, labs, dispensaries) have full operational access on a paid subscription. Healthcare Professionals (doctors) have PT.33 issuance and patient lookup access on a paid subscription. Patients have read-only Patient Portal access free of charge. Full Patient Portal features require a valid, active PT.33 issued by a verified DTAM-trained doctor.
5. Subscriptions and Billing
Monthly subscriptions: per-branch for dispensaries, per-organization for farms and labs, per-practitioner for doctors. Patients are free.
- •Payment by card (auto-charge) or bank transfer at the start of each billing period.
- •Grace period: 14 days after due date, with reminders on days 1, 7, and 14.
- •Soft-suspension after grace period: account becomes read-only; new transactions and PT.33 issuance are blocked. Compliance report generation continues.
- •Reactivation: pay the outstanding balance; full access restored within one business day.
- •Cancellation: contact hello@yagantra.app at any time; access continues through end of current period; no pro-rata refunds.
- •Monthly invoices generated automatically and available in your dashboard.
6. Pilot Program (Anchor Partners)
Anchor partners selected by Yagantra receive free full platform access through no later than December 31, 2026. No charges apply before January 1, 2027. At the end of the pilot, anchor partners are offered preferred pricing (typically 20–30% off the first 6 months). Continued use after January 1, 2027 constitutes agreement to applicable subscription fees. In exchange, anchor partners agree to provide operational feedback and participate in 1–2 structured feedback sessions.
7. Acceptable Use
Use Yagantra only for lawful purposes in connection with licensed medical herb operations under Thai law. You agree to: provide accurate and complete data; maintain valid regulatory documents; comply with the Controlled Herbs Act B.E. 2562, PDPA, and all DTAM and FDA guidelines; keep credentials confidential; and promptly notify Yagantra of any suspected security incidents or platform abuse.
8. Prohibited Activities
You must not engage in the following activities.
- •Submitting false, forged, outdated, or fraudulently obtained regulatory documents.
- •Manipulating platform data to circumvent PT.33 monthly limits, compliance thresholds, or weight verification tolerances.
- •Sharing or selling account credentials to unauthorized parties.
- •Using the platform in connection with unlicensed medical herb operations.
- •Attempting to reverse-engineer, decompile, or tamper with the platform.
- •Using automated tools to scrape or mass-download platform data without written consent.
- •Any activity violating Thai medical herb regulation, the PDPA, or constituting fraud or forgery under Thai law.
9. Records and Immutability
All operational records — sales, batches, PT.33 prescriptions, inventory adjustments, transfer records — are append-only and cannot be deleted or overwritten. Errors must be corrected by creating a correction record referencing the original; the original remains in the system. This design is required by the Thai medical herb regulatory context. You are responsible for the accuracy of data you enter. Yagantra staff may access the audit trail for security, support, or legal purposes; such access is logged.
10. Regulatory Reporting
Yagantra automatically generates monthly compliance reports (PT.27/PT.28/PT.29 for dispensaries, farm monthly reports) as PDF and Excel. The legal obligation to submit reports to DTAM rests with you — Yagantra does not submit on your behalf. Record DTAM receipt numbers and upload submission proofs in the platform after filing. Yagantra alerts you at 7, 3, and 1 day before compliance deadlines. Yagantra does not guarantee that generated reports will be accepted by DTAM or any regulatory authority.
11. Intellectual Property
The Yagantra platform, software, design, and trademarks are owned by Yagantra Co., Ltd. You retain ownership of your business data and grant Yagantra a limited license to process it solely to provide the services. Feedback or suggestions you provide may be used by Yagantra without restriction or obligation.
12. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. Compliance report generation continues during soft-suspension and, where technically possible, during maintenance. We are not liable for outages caused by force majeure or events outside our control.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY THAI LAW, YAGANTRA DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YAGANTRA DOES NOT WARRANT THAT COMPLIANCE REPORTS WILL BE ACCEPTED BY DTAM, THAT THE PLATFORM CONSTITUTES LEGAL ADVICE, OR THAT USE OF THE PLATFORM WILL GUARANTEE REGULATORY COMPLIANCE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY THAI LAW: YAGANTRA'S TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. YAGANTRA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. YAGANTRA IS NOT LIABLE FOR REGULATORY FINES, PENALTIES, OR LICENSE SUSPENSIONS RESULTING FROM YOUR COMPLIANCE OBLIGATIONS. PILOT USERS BEFORE JANUARY 1, 2027: MONETARY LIABILITY IS LIMITED TO THB 0.
15. Indemnification
You agree to indemnify and hold harmless Yagantra Co., Ltd. and its officers, employees, and agents from any claims, damages, and costs (including legal fees) arising from: your violation of these Terms; your violation of Thai medical herb regulation, DTAM rules, or the PDPA; submission of false regulatory documents; or any third-party claim arising from your platform use.
16. Termination and Data Export
You may terminate your account at any time by contacting hello@yagantra.app. Yagantra may terminate immediately for violation of these Terms, submitting false documents, prohibited activities, or license revocation by a Thai authority. On termination (other than for cause), you have 30 days to export your data. Records required by Thai medical herb regulation are retained regardless of termination reason, as specified in the Privacy Policy.
17. Governing Law
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes shall be resolved in the competent courts of Bangkok, Thailand.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. Continued use after a change constitutes acceptance.
